Terms of Service

1. Acceptance of Terms

By accessing or using pho.shop (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

pho.shop is a software-as-a-service platform operated by Endpoint Systems LLC that enables independent Vietnamese restaurants and noodle houses to accept online orders from their customers for pickup and delivery. pho.shop is a technology provider, not a restaurant. All food is prepared and served by the independent restaurant you order from — we do not cook, handle, or deliver food ourselves.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information.

4. Orders, Payments, and Refunds

Orders placed through pho.shop are contracts between you and the independent restaurant. Payments are processed through the restaurant's own merchant account — not ours. Refunds, cancellations, and disputes over food quality are handled by the restaurant in accordance with its own policies.

5. Restaurant Owner Obligations

If you are an independent Vietnamese restaurant using pho.shop to accept orders, you agree to: maintain all required business licenses and health permits; accurately describe menu items, allergens, and pricing; honor orders received through the platform; comply with all applicable food safety, labor, and tax laws; and pay the agreed subscription fee on time.

6. Prohibited Uses

• Using the Service for any unlawful purpose
• Interfering with or disrupting the Service or servers
• Attempting to gain unauthorized access to any part of the Service
• Using the Service to transmit malware, spam, or harassing content
• Reverse-engineering or scraping the platform

7. Intellectual Property

All content on the Service — excluding content you upload — is the property of Endpoint Systems LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or secure. We make no warranties regarding the food prepared by independent restaurants using our platform.

9. Limitation of Liability

To the maximum extent permitted by law, Endpoint Systems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including any claims related to food quality, food safety, or delivery issues — those are matters between you and the restaurant.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may terminate your account at any time by contacting us.

11. Governing Law

These Terms are governed by the laws of the United States and the state in which Endpoint Systems LLC is organized, without regard to conflict-of-law principles.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
